WorldwideMusicIndustry.comSM Terms of Use Agreement

Worldwide Music Industry, Inc., a Florida USA corporation ("Worldwide Music Industry" or "we") operates WorldwideMusicIndustry.comSM, which is a music networking service that allows Members to create unique personal profiles online in order to sell their musical talent to the world. Worldwide Music Industry can be contacted at 814 Arbor Lakes Circle Sanford, Fl 32771. The services offered by Worldwide Music Industry include any Worldwide Music Industry branded URL (the "Worldwide Music Industry Website"), the Worldwide Music Industry instant messaging service, the Worldwide Music Industry application developer service and other features (for example, music and video embedded players), Worldwide Music Industry mobile services, and any other features, content, or applications offered from time to time by Worldwide Music Industry in connection with Worldwide Music Industry's business (collectively, the "Worldwide Music Industry Services"). The Worldwide Music Industry Services are hosted in the United States.

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the Worldwide Music Industry Services. By using the Worldwide Music Industry Services, you agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the Worldwide Music Industry Website, including through a mobile device or otherwise use the Worldwide Music Industry Services without being registered) or you are a "Member" (which means that you have registered with Worldwide Music Industry). The term "User" refers to a Visitor or a Member. You are only authorized to use the Worldwide Music Industry Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and the terms of this Agreement. Please read this Agreement carefully and save it. If you do not agree to be bound by it or with any of the legal provisions applicable to it and to follow all applicable laws, you should leave the Worldwide Music Industry Website and discontinue use of the Worldwide Music Industry Services immediately. If you wish to become a Member, communicate with other Members and/or make use of the Worldwide Music Industry Services, you must read this Agreement and indicate your acceptance during the Registration process.

 

This Agreement includes Worldwide Music Industry's policy for acceptable use of the Worldwide Music Industry Services and Content (as defined in Section 6.1 below) posted on or through the Worldwide Music Industry Services and your rights, obligations and restrictions regarding your use of the Worldwide Music Industry Services and Content posted on or through the Worldwide Music Industry Services. In order to participate in certain Worldwide Music Industry Services, you may be notified that you are required to download software or content and/or agree to additional terms and conditions from Worldwide Music Industry. Unless otherwise provided by the additional terms and conditions applicable to the Worldwide Music Industry Services in which you choose to participate, those additional terms are hereby incorporated into this Agreement. You may receive a copy of this Agreement by emailing us at: support@worldwideindustry.com, Subject: Terms of Use Agreement.

Worldwide Music Industry may modify this Agreement from time to time and such modification shall be effective upon posting by Worldwide Music Industry on the Worldwide Music Industry Website. Your continued use of the Worldwide Music Industry Services after Worldwide Music Industry posts a revised Agreement signifies your acceptance of the revised Agreement. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.

Please choose carefully the information you post on or through the Worldwide Music Industry Services and that you provide to other Users. Your Worldwide Music Industry profile may not include any form of Prohibited Content, as outlined in Section 8 below. Despite this prohibition, information, materials, products or services provided by other Worldwide Music Industry Members (for instance, in their profile) may, in whole or in part, be unauthorized, impermissible or otherwise violate this Agreement, and Worldwide Music Industry assumes no responsibility or liability for this material. If you become aware of misuse of the Worldwide Music Industry Services by any person, please click on the "Contact Worldwide Music Industry" link at the bottom of the Worldwide Music Industry Website pages.

Worldwide Music Industry reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to deny, restrict, suspend, or terminate your access to all or any part of the Worldwide Music Industry Services at any time, for any or no reason, with or without prior notice or explanation, and without liability. Worldwide Music Industry expressly reserves the right to remove your profile and/or deny, restrict, suspend, or terminate your access to all or any part of the Worldwide Music Industry Services if Worldwide Music Industry determines, in its sole discretion, that you have violated this Agreement or pose a threat to Worldwide Music Industry and/or its Users and/or violating any applicable law.

1. Eligibility. Use of the Worldwide Music Industry Services and registration to be a Member for the Worldwide Music Industry Services ("Membership") is void where prohibited. By using the Worldwide Music Industry Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 14 years of age or older; and (d) your use of the Worldwide Music Industry Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are under 14 years of age, if we believe that you are under 18 years of age and you represent yourself as 18 or older, or if we believe you are over 18 and represent yourself as under 18.

2. Term. This Agreement, and any posted revision to this Agreement, shall remain in full force and effect while you use the Worldwide Music Industry Services or are a Member. You may terminate your Membership at any time, for any reason, by following the instructions on the Member's Account Settings page. Worldwide Music Industry may terminate your Membership at any time, for any or no reason, with or without prior notice or explanation, and without liability. Even after Membership is terminated, this Agreement will remain in effect, including Sections 5-17.

3. Fees. You acknowledge that Worldwide Music Industry reserves the right to charge for any portion of the Worldwide Music Industry Services and to change its fees (if any) from time to time in its discretion. If Worldwide Music Industry terminates your Membership because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of fees, payments, or credits(if any).

4. Password. When you sign up to become a Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify Worldwide Music Industry immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

 

5. Use by Members. The Worldwide Music Industry Services are for the personal use of Members and may be used for promotional purposes as well, but direct commercial endeavors may only be used if they are specifically endorsed or authorized by Worldwide Music Industry. Worldwide Music Industry reserves the right to remove commercial content in its sole discretion. Illegal and/or unauthorized use of the Worldwide Music Industry Services, including collecting usernames, user ID numbers and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Worldwide Music Industry Website, or employing third party promotional sites or software to promote profiles for money, is prohibited. Commercial advertisements, affiliate links, and other forms of unauthorized solicitation may be removed from Member profiles without notice or explanation and may result in termination of Membership privileges. Worldwide Music Industry reserves the right to take appropriate legal action for any illegal or unauthorized use of the Worldwide Music Industry Services.

 

5.1 User Restrictions

This site includes an interface which allows real-time interaction between participants via a chat feature. Worldwide Music Industry neither monitors nor exerts editorial control over such communication and assumes no responsibility for its content or nature. Participants are allowed to use the chat feature as long as they do not: Post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, state, national or international laws.

 

Although WorldwideMusicIndustry.com does not monitor for such behavior, it reserves the right to terminate access to any user who does not abide by these User Restrictio

 

 

6. Proprietary Rights in Content on Worldwide Music Industry.

6.1 WorldwideMusicIndustry.comSM and related websites' software/business methods are patent pending; any unauthorized use and or/duplication without permission is prohibited. WorldwideMusicIndustry.com and related websites' operating software and related content are protected by USA and foreign copyright law; any unauthorized use and or/duplication without permission is prohibited. WorldwideMusicIndustry.comSM is a service-mark of World Wide Music Industry, Inc., a Florida USA corporation, and is protected under trademark law; any unauthorized use and or/duplication without permission is prohibited. Worldwide Music Industry does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, applications, or any other materials (collectively, "Content") that you post on or through the Worldwide Music Industry Services. After posting your Content to the Worldwide Music Industry Services, you continue to retain any such rights that you may have in your Content, subject to the limited license herein. By displaying or publishing ("posting") any Content on or through the Worldwide Music Industry Services, you hereby grant to Worldwide Music Industry a limited license to use, modify, delete from, add to, publicly perform, publicly display, reproduce, and distribute such Content solely on or through the Worldwide Music Industry Services, including without limitation distributing part or all of the Worldwide Music Industry Website in any media formats and through any media channels, except Content marked "private" will not be distributed outside the Worldwide Music Industry Website. This limited license does not grant Worldwide Music Industry the right to sell or otherwise distribute your Content outside of the Worldwide Music Industry Services. After you remove your Content from the Worldwide Music Industry Website we will cease distribution as soon as practicable, and at such time when distribution ceases, the license will terminate. If after we have distributed your Content outside the Worldwide Music Industry Website you change the Content's privacy setting to "private," we will cease distribution of such "private" Content outside the Worldwide Music Industry Website as soon as practicable after you make the change.

 

Users instrumentals and tracks on WorldwideMusicIndustry.comSM are not owned by WorldwideMusicIndustry.comSM , but by the artist who created the beat or track.

 

If an exclusive beat/rap instrumental is purchased by through the profile or beat market or through any other form on WorldwideMusicIndustry.comSM, then rights are no longer in possession of the creator, but the user who purchased the beat/rap instrumental.

 

6.2 The license you grant to Worldwide Music Industry is non-exclusive (meaning you are free to license your Content to anyone else in addition to Worldwide Music Industry), fully-paid and royalty-free (meaning that Worldwide Music Industry is not required to pay you for the use on the Worldwide Music Industry Services of the Content that you post), sub licensable (so that Worldwide Music Industry is able to use its affiliates, subcontractors and other partners such as Internet content delivery networks and wireless carriers to provide the Worldwide Music Industry Services), and worldwide (because the Internet and the Worldwide Music Industry Services are global in reach).

6.3 You represent, warrant and covenant that: (i) you own the Content posted by you on or through the Worldwide Music Industry Services or otherwise have the right to grant the license set forth in this Section 6, and (ii) the posting of your Content on or through the Worldwide Music Industry Services does not violate any applicable laws, including but not limited to the privacy rights, publicity rights, intellectual property rights, copyrights, contract rights or any other rights of any person or entity. You agree to pay for all royalties, fees, and any other monies owing to any person or entity by reason of any Content posted by you on or through the Worldwide Music Industry Services.

6.4 The Worldwide Music Industry Services contain Content of Worldwide Music Industry ("Worldwide Music Industry Content"). Worldwide Music Industry Content is protected by copyright, trademark, patent, trade secret, industrial secret, and other laws, and Worldwide Music Industry owns and retains all rights in the Worldwide Music Industry Content and the Worldwide Music Industry Services. Worldwide Music Industry hereby grants you a limited, revocable, nonsublicensable license to reproduce and display the Worldwide Music Industry Content (excluding any software code) solely for your personal use in connection with viewing the Worldwide Music Industry Website and using the Worldwide Music Industry Services.

6.5 The Worldwide Music Industry Services contain Content of Users and other Worldwide Music Industry licensors. Except as provided within this Agreement, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the Worldwide Music Industry Services.

6.6 Worldwide Music Industry performs technical functions necessary to offer the Worldwide Music Industry Services, including but not limited to transcoding and/or reformatting Content to allow its use throughout the Worldwide Music Industry Services.

7. Content Posted.

 

7.1 Worldwide Music Industry may reject, refuse to post or delete any Content for any or no reason, including Content that in the sole judgment of Worldwide Music Industry violates this Agreement or which may be offensive, illegal or violate the rights of any person or entity, or harm or threaten the safety of any person or entity. Worldwide Music Industry assumes no responsibility for monitoring the Worldwide Music Industry Services for inappropriate Content or conduct. If at any time Worldwide Music Industry chooses, in its sole discretion, to monitor the Worldwide Music Industry Services, Worldwide Music Industry nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.

7.2 You are solely responsible for the Content that you post on or through any of the Worldwide Music Industry Services, and any material or information that you transmit to other Members and for your interactions with other Users.

7.3 You are solely responsible for ensuring that all Content that you post on or through any of the Worldwide Music Industry Services, and any material or information that you transmit to other Users, conforms to all applicable data protection and privacy laws, including ensuring that you have obtained the prior consent of any and all individuals whose personal information you use and/or disclose on or through Worldwide Music Industry.

 

7.4 Rules for Uploading Beats

Any beat that is being posted by a producer must be beat that is produced/or owned by the producer. If a seller is selling beats on WorldwideMusicIndustry.com, they must be original and not sampled. WorldwideMusicIndustry.com has no way to tell if a beat is sampled and they cannot be held liable for any sampled or falsely presented beats. The artists who claim this is their original work are to be held liable for any issues dealing with beat fraud or sampling.

 

7.5 Purchasers of Beats on WorldwideMusicIndustry.com

It is important to understand how the Non-Exclusive and Exclusive beats works when you are buying a beat on WorldwideMusicIndustry.com

 

A Non Exclusive beat is a beat that the producer offers anyone the right to use after they purchase it on WorldwideMusicIndustry.com A Non Exclusive beat is a beat where the producer is able to sell its rights multiple times. This means even though you buy the rights to use the beat, you are not the only entity who has the right to use this beat.

 

Buyers of Non-Exclusive beats are subject to the following license agreement:

 

7.6 NON EXCLUSIVE BEAT LICENSE AGREEMENT

 

The WorldwideMusicIndustry.com Exclusive Producer (hereinafter referred to as the "Licensor") in accordance with the terms stated in this agreement gives __Purchaser__ (hereinafter referred to as the "Licensee") a license to lease a non-exclusive beat purchased from WorldwideMusicIndustry.com

 

7.7 RIGHTS GRANTED TO THE LICENSEE

 

Licensee does have the worldwide, non-exclusive, non transferable right for the use of the Music as long as additional audio/visual performances are recorded with our musical compositions (hereinafter referred to as "synchronization") The licensee is granted permission to sell or broadcast only in synchronization or mechanical reproduction with other visual or audio performances (vocals) added by Licensee. Rights include distribution of phono-record demos created using the WorldwideMusicIndustry.com Exclusive Producer compositions. Licensee has distribution, performance and radio rights as long as they adhere to the following restrictions. Licensee understands that the rights that are being granted to the Licensee in this Agreement are non-exclusive and that the Licensor will have the full authority and full right to issue other parties the right to use the Original Instrumental Composition that is being licensed in this agreement.

 

1) The License expressly FORBIDS resale or other distribution of the WorldwideMusicIndustry.com Exclusive Producer's compositions, either as they exist or any modification thereof. You CANNOT sell, loan, rent, lease, assign, remix, rearrange, remove any melodies, instruments, drum programming or transfer all OR any of the products sold or their rights under WorldwideMusicIndustry.com to another user (example - Record Label, another production company, another producer), or for use in any competitive product.

 

2) The Licensee understands that the Original Instrumental Composition that is being licensed in this agreement does not contain any unapproved samples. The Licensee also understands that they are responsible for clearing all samples that they choose to use and that the Licensor cannot and will not be held liable for the misuse of any sampled material that the Licensee uses in conjunction with the Original Instrumental Composition that is being licensed in this agreement.

 

3) Licensee can not resell, lease or license any compositions to another user without written permission from licensor. The Licensee understands that The Licensor maintains copyright and ownership of the Original Instrumental Composition that is being licensed in this agreement, and the Licensee has neither the right nor authority to sell or license the rights to the Original Instrumental Composition weather in whole or part to any other party.

 

4) Licensee can not use beat compositions as a background element in TV, Film and DVD projects without obtaining written consent and or another license agreement.

 

5) Licensee must supply the WorldwideMusicIndustry.com Exclusive Producer with at least 1 copy of each final recording made using the WorldwideMusicIndustry.com Exclusive Producer's Music.

 

6) Licensee must include on all productions the producer's name. Licensee agrees to display this statement on all physical media containing a portion or sum of the Original Instrumental Composition that is being licensed in this agreement. Including but not limited to CD's, CD covers, Cassette tapes, Cards, etc.

7) Licensee may sell completed work using music from WorldwideMusicIndustry.com in any format.

 

8) Licensee must contact and inform licensor of CD sales exceeding 2,000 units. Licensor is only bound to this particular agreement until sales exceed 2,000 records distributed and sold at which licensor and licensee will adhere to another fair and honorable agreement. Licensor will remain copyright holder.

 

9) Use of the WorldwideMusicIndustry.com Exclusive Producer's compositions in isolation (without synchronization of vocal performance) is not permitted without obtaining a special Multimedia license directly from the WorldwideMusicIndustry.com Exclusive Producer. If you are interested in using the WorldwideMusicIndustry.com Exclusive Producer's compositions for Radio Broadcast, Commercial Advertisement , Television Broadcast, Video Games, Internet, On-hold & In House Background Music, or film Soundtracks you must contact the WorldwideMusicIndustry.com Exclusive Producer directly in order to be granted such license.

 

7.8 PERFORMANCE AGREEMENT

 

1) Licensee has the right to perform with the WorldwideMusicIndustry.com Exclusive Producer's music in public. If a the WorldwideMusicIndustry.com Exclusive Producer's music composition purchased by licensee is exploited regionally, nationally or world wide via radio, television, motion picture or in any other form of entertainment, licensee must contact licensor so that licensor can take proper steps in obtaining any performance royalties generated.

 

2) Licensor is the sole owner of the music referred to in this agreement. Licensee has no ownership of the WorldwideMusicIndustry.com Exclusive Producer's copyrights.

 

3) Licensee must comply with every aspect of this agreement or this license will be terminated.

 

We are extremely fair and easy to work with as long as you adhere to our conditions. We are unmatched in allowing independent artists and record labels to sell 2,000 records without any compensation paid to us besides your initial payment for the license.

 

 

An Exclusive Beat is a beat that only one person can purchase and own the rights to use it. If an Exclusive beat is sold on WorldwideMusicIndustry.com, the buyer gains rights to use to beat. The buyer of the beat is the only person or company allowed to use this beat. The buyer gains the sole rights to use the beat, but cannot re sell the purchased beat. If the beat is used for commercial purposes with a record label with gross revenue of over $1,000,000, the producer must receive credit for the beat, unless agreed upon otherwise by the two parties.

 

Buyers of Exclusive beats are subject to the following license agreement:

 

7.9 EXCLUSIVE BEAT LICENSE AGREEMENT

 

The WorldwideMusicIndustry.com Exclusive Producer (hereinafter referred to as the "Seller") in accordance with the terms stated in this agreement gives __Purchaser__ (hereinafter referred to as the "Buyer") the rights to exclusive beats purchased from WorldwideMusicIndustry.com.

 

7.10 RIGHTS GRANTED TO THE BUYER

 

Buyer does have the worldwide, exclusive, transferable right for the use of the Music as long as additional audio/visual performances are recorded with our musical compositions (hereinafter referred to as "synchronization") The Buyer is granted permission to sell or broadcast only in synchronization or mechanical reproduction with other visual or audio performances (vocals) added by Buyer. Rights include distribution of phono-record demos created using the WorldwideMusicIndustry.com Exclusive Producer compositions. Buyer has distribution, performance and radio rights as long as they adhere to the following restrictions. 2) The Buyer understands that the Original Instrumental Composition that is being licensed in this agreement does not contain any unapproved samples. The Buyer also understands that they are responsible for clearing all samples that they choose to use and that the Seller cannot and will not be held liable for the misuse of any sampled material that the Buyer uses in conjunction with the Original Instrumental Composition that is being licensed in this agreement.

 

3) Buyer cannot resell, lease or license any compositions to another user without written permission from Seller. The Buyer understands that The Seller maintains 100opyright and ownership of the Original Instrumental Composition that is being licensed in this agreement, and the Buyer has the right to sell or license the rights to the Original Instrumental Composition weather in whole or part to any other party with written permission from the Seller.

 

4) Buyer cannot use beat compositions as a background element in TV, Film and DVD projects without obtaining written consent and or another license agreement.

 

5) Buyer must supply the WorldwideMusicIndustry.com Exclusive Producer with at least 1 copy of each final recording made using the WorldwideMusicIndustry.com Exclusive Producer's Music.

 

6) Buyer must include on all productions the producer's name. Buyer agrees to display this statement on all physical media containing a portion or sum of the Original Instrumental Composition that is being licensed in this agreement. Including but not limited to CD's, CD covers, Cassette tapes, Cards, etc.

7) Buyer may sell completed work using music from WorldwideMusicIndustry.com in any format.

 

8) Buyer must contact and inform Seller of CD sales if the Original Instrumental Composition is used for commercial purposes with a record label with gross revenue of over $1,000,000, the Seller must receive credit for the Original Instrumental Composition, unless agreed upon otherwise by the two parties.

 

9) Use of the WorldwideMusicIndustry.com Exclusive Producer's compositions in isolation (without synchronization of vocal performance) is not permitted without obtaining a special Multimedia license directly from the WorldwideMusicIndustry.com Exclusive Producer. If you are interested in using the WorldwideMusicIndustry.com Exclusive Producer's compositions for Radio Broadcast, Commercial Advertisement, Television Broadcast, Video Games, Internet, On-hold & In House Background Music, or film Soundtracks you must contact the WorldwideMusicIndustry.com Exclusive Producer directly in order to be granted such license.

 

7.11 PERFORMANCE AGREEMENT

 

1) Buyer has the right to perform with the WorldwideMusicIndustry.com Exclusive Producer's music in public. If a the WorldwideMusicIndustry.com Exclusive Producer's music composition purchased by Buyer is exploited regionally, nationally or worldwide via radio, television, motion picture or in any other form of entertainment, Buyer must contact Seller so that Seller can take proper steps in obtaining any performance royalties generated.

 

2) Buyer is the sole owner of the music referred to in this agreement. Buyer has no ownership of the WorldwideMusicIndustry.com Exclusive Producer's copyrights.

 

3) Buyer must comply with every aspect of this agreement or this license will be terminated.

 

We are extremely fair and easy to work with as long as you adhere to our conditions.

7.11 Payment

Payment can either be with any major credit card or a Paypal account. Users that use checks must wait 3-4 business days to clear their checks. After that time they can go back to their paypal account and continue downloading the beat. Payments for Cash tournament prizes, sales and affiliate sales will be made twice a month via paypal or once a month via check.

7.12 Sellers of Beats on WorldwideMusicIndustry.com

It is important to understand how the Non Exclusive and Exclusive beats works when you are selling a beat on WorldwideMusicIndustry.com.

 

A Non Exclusive beat are beats that a producer can sell the rights to use the beat to multiple people on WorldwideMusicIndustry.com This means even though you have sold the beat once, you are able to sell it to as many people as you would like.

 

An Exclusive Beat is a beat that the producer can only sell the beat once. Once the beat is purchased, the buyer becomes the only person with rights to use the beat. The user gains the right to use it in commercial and non commercial venue. The buyer is not allowed to resell the beat to a third party. If the beat is used for commercial purposes with a record label with gross revenue of over $1,000,000, the producer must receive credit for the beat, unless agreed upon otherwise by the two parties.

7.13 Cash Tournaments

The user will pay the PayPal fees upon deposit of cash into their WorldwideMusicIndustry.com account. The fee is 2.90.30 and can be higher or lower depending on currency being used, and the frequency on the PayPal account being used. For example if you want $100.00 to use in your WorldwideMusicIndustry.com account, you should add around $104.00 to achieve this.

The winner of a cash battle will receive a cash prize and this will be added to their My Account Page. The prize will be added to your account. The amount added will be the total prize amount less 10 Example: You will receive $9.00 if you win a battle with the total cash prize being $10.00.

In order for a Cash Tournament to close, it must be voted on by the fans, dj's. & radio,execs. If this is done, then after three days after the battle completes, the cash tournament will close and a winner and loser are declared.

You are able to get paid by check for no extra fees if your account balance is greater than $50. You can get paid via PayPal at any time, but you may incur charges of approximately 30.000000 from Paypal for receiving the money. You must state in the My Account page that you want to cash out for the following month via check, or immediately via PayPal.

7.14 Worldwide Music Industry

In these tournaments radio execs and dj's votes are weighted to ensure that the tournaments are judged fairly, and accurately.

7.15 Fees for Selling

WorldwideMusicIndustry.com collects fees for selling your music. WorldwideMusicIndustry.com has listing fees, meaning to load your music for promotion, sell, or to enter into tournament you must pay a listing fee and we will still make a commission off each beat or track sold depending on your membership. For example, If you have a free artist account your commission you pay to the website is 20% but if you upgrade your membership to say a platinum artist than the percentage you pay to the website is 2.5%. I encourage all artist to find the best plan for them going by how much they will be using the website. If you know you will be listing a lot then you may need to go with a platinum membership or if you know you will be competing in a lot of tournaments you may need to get a platinum membership or if it is just a casual thing or just getting started then you can go with the free account and let us make 20% off you. Artists will be liable for all Paypal and credit card fees incurred in a transaction. For example if a producer sells a beat for $12USD they may only receive $10 for the beat after all Paypal fees are covered. There is a beat transfer fee for selling beats, but the buyer pays for it. This is to ensure that artists get the full amount for the beat.

7.16 Fraud/Sampling

If a seller is selling beats on WorldwideMusicIndustry.com, they must be original and not sampled. WorldwideMusicIndustry.com has no way to tell if a beat is sampled and they cannot be held liable for any sampled or falsely presented beats. The artists who claim this is their original work are to be held liable for any issues dealing with beat fraud or sampling.

7.17 Payment

Artist will be paid out upon completion of each transaction. The artist can accept payment by check or by Paypal. Their will be no charge to receive the payment by check. The artist is responsible for all service fees of Paypal if accepting payment by Paypal.

7.18 Sampling

WorldwideMusicIndustry.com has a secure system to prevent sampling. If any sort of sampling does occur, it is not the responsibility of WorldwideMusicIndustry.comSM

7.19 Fraud

Anyone found attempting to scam or fraud WorldwideMusicIndustry.comSM, will be banned from Worldwide Music Industry and the proper authorities will be notified. They will not be entitled to any money owed to them for violating our policies.

 

 

8 Content/Activity Prohibited. The following are examples of the kind of Content that is illegal or prohibited to post on or through the Worldwide Music Industry Services. Worldwide Music Industry reserves the right to investigate and take appropriate legal action against anyone who, in Worldwide Music Industry's sole discretion, violates this provision, including without limitation, removing the offending Content from the Worldwide Music Industry Services and terminating the Membership of such violators. Prohibited Content includes, but is not limited to Content that, in the sole discretion of Worldwide Music Industry:

8.1 is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;

8.2 harasses or advocates harassment of another person;

8.3 exploits people in a sexual or violent manner;

8.4 contains nudity, excessive violence, or offensive subject matter or contains a link to an adult website;

8.5 solicits personal information from anyone under 18;

8.6 publicly posts information that poses or creates a privacy or security risk to any person;

8.7 constitutes or promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;

8.8 constitutes or promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files;

8.9 involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";

8.10 contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);

8.11 furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;

8.12 solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;

8.13 involves commercial activities and/or sales without prior written consent from Worldwide Music Industry such as contests, sweepstakes, barter, advertising, or pyramid schemes;

8.14 includes a photograph or video of another person that you have posted without that person's consent;

8.15 or band, comedy, filmmaker and other profiles, uses sexually suggestive imagery or any other unfair, misleading or deceptive Content intended to draw traffic to the profile;

8.16 violates the privacy rights, publicity rights, copyrights, trademark rights, contract rights or any other rights of any person; or

8.17 promotes propaganda and/or symbols of organizations which are unconstitutional or illegal in your country.

 

The following are examples of the kind of activity that is illegal or prohibited on the Worldwide Music Industry Website and through your use of the Worldwide Music Industry Services. Worldwide Music Industry reserves the right to investigate and take appropriate legal action against anyone who, in Worldwide Music Industry's sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:

8.18 criminal or tortious activity, including child pornography, corruption of minors, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, intellectual property rights (including but not limited to copyright, trademark and patent infringement), or theft of trade or industrial secrets;

8.19 advertising to, or solicitation of, any Member to buy or sell any products or services through the unauthorized or impermissible use of the Worldwide Music Industry Services. You may not transmit any chain letters or junk email to other Members. In order to protect our Members from such advertising or solicitation, Worldwide Music Industry reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which Worldwide Music Industry deems appropriate in its sole discretion. If you breach this Agreement and send unsolicited bulk email, instant messages or other unauthorized commercial communications of any kind through the Worldwide Music Industry Services, you acknowledge that you will have caused substantial harm to Worldwide Music Industry, but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you agree to pay Worldwide Music Industry USD $50 for each such unsolicited email or other unauthorized commercial communication you send through the Worldwide Music Industry Services;

8.20 circumventing or modifying, attempting to circumvent or modify, or encouraging or assisting any other person in circumventing or modifying any security technology or software that is part of the Worldwide Music Industry Services;

8.21 activity that involves the use of viruses, bots, worms, or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware, or otherwise permit the unauthorized use of or access to a computer or a computer network;

8.22 covering or obscuring the banner advertisements on your personal profile page, or any Worldwide Music Industry page via HTML/CSS or any other means;

8.23 any automated use of the system, including but not limited to, using scripts to add friends or send comments or messages;

8.24 interfering with, disrupting, or creating an undue burden on the Worldwide Music Industry Services or the networks or services connected to the Worldwide Music Industry Services;

8.25 impersonating or attempting to impersonate another Member, person or entity;

8.26 for band, comedy, filmmaker and other profiles containing a Worldwide Music Industry player, copying the code for your Worldwide Music Industry Player and embedding it (or directing others to embed it) anywhere other than your band profile on Worldwide Music Industry;

8.27 using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;

8.28 selling or otherwise transferring your profile;

8.29 using any information obtained from the Worldwide Music Industry Services in order to harass, abuse, or harm another person or entity, or attempting to do the same;

8.30 displaying an unauthorized commercial advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity through the unauthorized or impermissible use of the Worldwide Music Industry Services on behalf of that person, such as placing commercial content on your profile, posting blogs or bulletins with a commercial purpose, selecting a profile with a commercial purpose, or sending private messages with a commercial purpose; or

8.31 using the Worldwide Music Industry Services in a manner inconsistent with any and all applicable laws and regulations.

 

9 Protecting Copyrights and Other Intellectual Property. Worldwide Music Industry respects the intellectual property of others, and requires that our users do the same. You may not upload, embed, post, email, transmit or otherwise make available any material that infringes any copyright, patent, trademark, trade secret or other proprietary rights of any person or entity. Worldwide Music Industry has the right to terminate the Membership of infringers.

If you believe your work has been copied and posted on or through the Worldwide Music Industry Services in a way that constitutes copyright infringement, please send Worldwide Music Industry's Copyright Agent a notification of claimed infringement with all of the following information: (a) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works; (b) identification of the claimed infringing material and information reasonably sufficient to permit us to locate the material on the Worldwide Music Industry Services (providing the URL(s) of the claimed infringing material satisfies this requirement); (c) information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an email address; (d) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (e) a statement by you, made under penalty of perjury, that the above information in your notification is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf; and (f) your physical or electronic signature. Downloading or using the Software is at your sole risk.

15. Disputes. The Agreement shall be governed by, and construed in accordance with, the laws of the State of Florida USA, without regard to its conflict of law provisions. You and Worldwide Music Industry agree to submit to the exclusive jurisdiction of the courts located within the State of Florida USA to resolve any dispute arising out of the Agreement or the Worldwide Music Industry Services. EACH OF THE PARTIES HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LITIGATION (INCLUDING BUT NOT LIMITED TO ANY CLAIMS, COUNTERCLAIMS, CROSS-CLAIMS, OR THIRD PARTY CLAIMS) ARISING OUT OF, UNDER OR IN CONNECTION WITH THIS AGREEMENT. FURTHER, EACH PARTY HERETO CERTIFIES THAT NO REPRESENTATIVE OR AGENT OF EITHER PARTY HAS REPRESENTED, EXPRESSLY OR OTHERWISE, THAT SUCH PARTY WOULD NOT IN THE EVENT OF SUCH LITIGATION, SEEK TO ENFORCE THIS WAIVER OF RIGHT TO JURY TRIAL PROVISION. EACH OF THE PARTIES ACKNOWLEDGES THAT THIS SECTION IS A MATERIAL INDUCEMENT FOR THE OTHER PARTY ENTERING INTO THIS AGREEMENT.

16. Indemnity. You agree to indemnify and hold Worldwide Music Industry, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Worldwide Music Industry Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth in this Agreement and/or if any Content that you post on or through the Worldwide Music Industry Services causes Worldwide Music Industry to be liable to another.

17. Other. This Agreement is accepted upon your use of the Worldwide Music Industry Website or any of the Worldwide Music Industry Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and Worldwide Music Industry regarding the use of the Worldwide Music Industry Services. The failure of Worldwide Music Industry to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. Worldwide Music Industry is a service-mark of Worldwide Music Industry, Inc. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

17.1 Miscellaneous Provisions

Worldwide Music Industry may at any time revise these Terms and Conditions by updating this page. Users of this site and participants in the games contained herein are bound by any such revisions and should therefore periodically visit this page to review the then current Terms and Conditions to which they are bound.

If any provision of these Terms and Conditions shall be unlawful, void, of for any reason unenforceable then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions.
